You must be at least 18 years old and have legal authority to enter into this agreement to use our Services.

 
2. Services Provided

Receiving and inspecting goods
Warehousing and storage
Labeling and packaging
Preparation, bundling, and kitting
Outbound handling and fulfillment
Shipment coordination
Services may change or be discontinued at any time without prior notice.

 
3. Customer Responsibilities
You agree to:

Provide accurate and complete product and inventory information
Ensure your goods comply with all applicable laws
Ensure products are safe and properly packaged for handling
Provide correct shipping instructions and addresses
Maintain up-to-date contact and billing information
You are solely responsible for:

Product compliance (legal, safety, labeling, etc.)
Accuracy of shipment instructions
Any loss arising from incorrect or incomplete information you provide
 
4. Prohibited Goods
You agree not to ship or store prohibited items with us, including but not limited to:

Illegal goods
Hazardous materials
Perishables requiring temperature control
Restricted or dangerous goods
We may reject or dispose of prohibited products at your expense.

 
5. Inventory Handling
While we make good-faith efforts to handle goods responsibly, we do not guarantee:

Inventory accuracy
Condition of products shipped to us
Loss or damage from transit or third-party carriers
Inventory issues must be reported within 7 days of becoming aware.

 
6. Shipping & Transportation
You authorize us to coordinate carriers and shipment services on your behalf.
Carrier transit times and delivery performance are outside of our control.
We are not liable for:

Delays
Loss
Damage during transport
Claims should be filed directly with the carrier unless otherwise stated.
 
7. Fees & Payment
Pricing is listed on our Site or provided via quotation.
We may change pricing at any time.
You agree to:

Pay all fees incurred for services and storage
Pay invoices by the stated due date
Keep valid billing information on file
Unpaid balances may result in:

Suspension of services
Storage fees
Inventory lien
Disposal of goods
 
8. Storage
Storage fees may be charged based on volume, weight, or time stored.
If storage fees are unpaid for 30 days, we may:

Hold, liquidate, or dispose of products
Apply proceeds to outstanding balances
We are not liable for loss regarding goods disposed of due to unpaid balances.

 
9. No Warranty
The Site and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
We do not guarantee:

Accuracy or reliability of services
No interruptions, delays, or errors
Availability at all times
 
10. Limitation of Liability
To the maximum extent permitted by law:

We are not liable for indirect, incidental, consequential, or punitive damages.
Our total liability for any claim is limited to the amount you paid us for the services directly related to the claim.

Carrier loss or damage
Inventory inaccuracies
Damage caused by third parties
Lost profits, revenue, or data
 
11. Indemnification
You agree to indemnify and hold harmless TS Prepwork and its officers, employees, and agents from claims, losses, liabilities, or damages arising from:

Your use of the Site or Services
Product compliance issues
Customer disputes
Incorrect or incomplete information provided by you
 
12. Intellectual Property
All content on the Site—including trademarks, text, logos, and images—belongs to TS Prepwork or its licensors.
You may not copy, distribute, sell, or modify any materials without prior written consent.

 
13. Termination
We may suspend or terminate Services at any time for:

Violation of these Terms
Non-payment
Illegal activity
Abusive behavior toward staff
Upon termination, any unpaid balance remains your responsibility.

Any dispute shall be resolved exclusively in courts located in California.
